Yes. Overseas founders can form a Dubai company without visiting the UAE. Free zones and mainland authorities run the application, payment and signing steps online. Two steps still need you in the UAE: the residence visa, which includes a medical test and Emirates ID biometrics, and the corporate bank account. UAE banks typically want the applicant present, although the rule varies by bank.
- You can do from abroad: the application, document upload, payment, electronic signing and licence issuance.
- You must do in the UAE: the residence visa steps and, at most banks, the account opening.
How does remote company setup work, step by step?
- Fix the activity, legal form and licensing authority. The activity decides the licence category and the legal form, and the authority decides the process. Choose between the mainland and a free zone first.
- Reserve the trade name. Dubai’s mainland authority, Dubai Economy and Tourism (DET), takes name reservations through its website and the DED BUSINESS app.
- Gather your documents. An individual shareholder needs a passport and proof of address. Corporate shareholders need their company documents. The documents section below lists both.
- Submit the application and pay online. The free zone or DET portal takes the application, the uploaded documents and the payment.
- Sign electronically. IFZA, for example, sends the Memorandum and Articles of Association to every shareholder for e-signature. DMCC verifies authorised signatories by video call.
- Receive the licence by email. IFZA emails a soft copy and hands over the original on request.
- Travel for the visa and bank steps. Plan one trip for the medical test, Emirates ID biometrics and the bank account.
Each free zone sets its own process, so the steps above show how two zones handle it, not a rule for all of them.
Should an overseas founder choose a free zone or the mainland?
Free zones offer the smoothest remote route. DMCC states that a company can form and receive its licence fully remotely, and IFZA says you do not need to be in the UAE.
The mainland takes more groundwork. The Ministry of Economy and Tourism says digital platforms let you establish a company online. Its mainland steps also include initial approval, trade name registration and an attested lease copy. You therefore need premises in Dubai before the licence issues.
Free zone | Mainland | |
|---|---|---|
Licensing authority | The free zone authority | DET |
Online application and signing | Yes, as DMCC and IFZA describe | Yes, through digital platforms |
Premises | The zone sets the terms | Attested lease copy |
Residence visa and bank steps | Need you in the UAE | Need you in the UAE |
RVG Management Consultants form companies on the mainland and in free zones.
Which documents do overseas founders need?
Individual shareholders
- A passport valid for at least six months.
- Proof of residential address dated within the last three months.
- The application form, and a business plan if the authority asks for one.
DMCC says neither the passport nor the address proof needs attestation. Educational certificates need attestation when a foreign country issued them.
Corporate shareholders
- Certificate of incorporation, memorandum and articles, and the shareholding structure.
- A valid trade licence and the parent company’s board resolution.
- The register of directors or a certificate of incumbency, plus a declaration of ultimate beneficial owners.
DMCC lists most of these as needing notarisation and attestation. Documents must appear in Arabic or English, or carry a certified translation.
Power of attorney. You need one only when someone else signs, submits or collects documents for you. A power of attorney you sign abroad may need notarisation, legalisation and UAE attestation.
Attestation order. The issuing country attests the document first, and the UAE Ministry of Foreign Affairs attests it second. Start this early, because it adds time before you can submit.
What mistakes slow down a remote setup?
- Assuming you never need to travel. The licence arrives online, but the visa and most bank accounts need you there.
- Starting attestation late. Corporate documents pass through two governments, and delays there hold up the whole application.
- Choosing the mainland without a lease plan. The licence needs an attested lease, so find premises first.
- Picking a free zone by headline alone. Each zone sets its own process, so compare what each one offers before you commit.
